OF THE ECONOMIC DEVELOPMENT
AUTHORITY OF THE CITY OF SALEM,
VIRGINIA
A meeting of the Economic Development Authority of the City of Salem,
Virginia, was held at the Salem Civic Center in the Community Room on May 18, 2021,
at 3:00 p.m. The following members of the Authority were present: Cindy Shelor, Quinn
Mongan, Dave Robbins (remote), Rob Robinson, Macel Janoschka, Paul Kuhnel and
Sean Kossman
There, also present was Jay Taliaferro, City Manager, Rob Light, Assistant City
Manager, Rosie Jordan, Treasurer, Amy Morris, Finance Department, Mike Lockaby,
Guynn, Waddell, Carroll & Lockaby, P.C., and Crystal Williams, Secretary to EDA.
Vice Chair, Quinn Mongan called the meeting to order at 3:02 p.m.
Vice Chair Mongan stated Dave Robbins had requested to participate in today’s meeting
via remote participation and provided the following statement to him to read: "In
accordance with Section 2.2-3708.2 1(A) of the Code of the Commonwealth of Virginia
and the Remote Participation Policy of the City of Salem, I hereby request to participate
remotely due a medical condition identified by the Centers for Disease Control as a risk
related to the COVID-19 Pandemic.”

The minutes from the March 22, 2021 meeting were presented. A motion was
made for approval.
Motion: Shelor; Second: Kossman

Ms. Jordan reviewed the financial report with the EDA. and the financial report
was received and filed.
The EDA convened into closed session pursuant to provision of Section 2.2-
3711A (29) of the 1950 Code of Virginia, as amended, for the purpose of discussions of
the award of a public contract involving the expenditure of public funds, including
interviews of bidders or offerors, and discussion of the terms or scope of such contract,
where discussion in an open session would adversely affect the bargaining position or
negotiating strategy of the public body.

The EDA reconvened at 3:42 p.m. and in accordance with Section 2.2-3712D of
the Code of Virginia, 1950 as amended to date, the EDA hereby certified that in Closed
Session only items lawfully exempted from open meeting requirements under the
Virginia Freedom of Information Act and only such items identified in the motion by
which the Closed Session was convened were heard, discussed, or considered by the
EDA.

A motion was made to approve an agreement for an improvement grant on the
Moe’s project based on 30% of the net improvement value, capped at $30,000 per year
for up to three years subject to the approval or Salem City Council, and legal counsel
with authorization for the agreement to be executed by the Chair.

Mr. Lockaby gave an update on the TAP loan program. A discussion was held,
and a motion was made to discontinue the work in putting together a loan program.

There being no further business the meeting adjourned at 3:55p.m.
