(Approved on first reading at November 28, 2016 meeting.) 6.New Business A.Vacation of Right of Way Hold a public hearing and consider ordinance on first reading to vacate and permanently dispose of a 50' right of way with portions of variable width beginning at a point east of Mountainview Drive to the terminus of the unopened right of way as shown on the attached map. Johnson, William D..Jones, and James A. Martin, and James. L. Chisom; with Byron Randolph Foley, presiding; together with Kevin S. Boggess, City Manager; James E. Taliaferro, Assistant City lManager; Shatonna Stores, Chief Deputy Treasurer, Linda Carroll, commissioner of the Revenue, sidney Kuzmich, Deputy Commissioner of the Revenue, N,like Crawley, Chief of Police, Rose Marie Jordan, Director of Finance and Tom Bowers, Commonwealth Attorney; and the following business was transacted: N,layor Foley reported that this date, place, and time had been set in order forthe Council to hold a work session; and WHEREAS, lvls. City Council Meeting MINUTES council chambers, city Hall, 114 North Broad Street, SalenL Mlginia24l53 Call to Order A regular meeting of the Council of the City of Salerq Mrginia, was called to order at 7:30 p.m, there being present the following members to wit: Byron Randolph Foley, Mayor, Wlliam D. Jones, Mce-Mayor, Councilmembers: Jane W. Johrson, James A. Martiq and James L Chisom; along with Kevin S. Boggess, City Manager; James E. Taliafeno, II, Assistant City Manager and Clerk of Council; Rosemarie B. Jordaq Director of Finance; Mike Stevens, Connnunications Director; William L. Sirrpsoq Jr., Crty Engineer; and Stephen M. Yost, City Attomey. Pledge ofAllegiance Bid Openings, Awards. Recognitions Corsent Agenda A. Minutes Consider acceptance of the minutes from the Joint Work Session meeting with Planning Corrrnission and the regular meeting on Novemb er 14,2016, Received Old Business A. Tourism Zone Ordinance Consider ordinance on second reading establishing Towism Zones. @assed on first reading at the November 14,2016 meeting.) Mayor Foley noted since the passage of the ordinance on the first reading that another zone has been added around the Valleydale Packers building. Mr. Boggess noted this is correct. He stated that in discussiors after the first reading it was suggested we include the property around the Valleydale plant as one of the zones so the maps have been amended to include this. He asked that Council include this in the second reading as an anpndment. Mayor Foley noted for those who were not at the first reading, by including these , 3. 4. areas in the Tourism Zones it may qualiff for State funding later on for development purposes. This is the whole objeitive ofthese zones located tlrouglrout the community. Jane Jokson motioned to adopt the ordinance as amended on second reading establishing Tourism Zones. (Passed on first reading at the Novemb et 14,2016 meeting.). James Chisom seconded the motion Ayes: Chisonl Foley, Jokson, Jones, Martin 6. New Business A. Amendment to Zoning Ordinance Hold a public hearing and consider the ordinance on first reading at the request of the Salem Historical Society, property owner, for rezoning the property located at 1936 West Main Sheet. (Tax Map #138-2-7) from RSF Residential Single Family District /HBD Highway Business District to Highway Business Dishict with conditions. (As advertised in the November 10, and November 17,2016 issues of the Salem Times Register.i Recommend approval with conditions; see Page I Planning Commission minutes.) STAFF REPORT Staff noted the following: the subject property consists ofone parcel of about 9.331 acres located along the south side of West Main Street; the property is curently occupied by the historic Preston House, a single family residence, and associated outbuildings; the applicant is requesting a rezoning to HBD Highway Business District in order to allow a restaurant and other incidental uses within the existing Preston House in a historic setting; f.rther, the applicant has voluntarily proffered that only the following uses be allowed on the property: Civic Use Types Administrative Services Cultural Services Ollice Use Types General Offices Commercial Use Tlpes Antique Shops Assembly t{all Homestay Inn Micro-brewery (Ifallowed by the underlying zoning) Restaurant Retail Sales Studio, Fine Arts Mscellaneous Use Types Mixed Use (if allowed by the underlying zoning) Outdoor Gathering Dave Robbins of 620 High Street, representing the Salem Historical Society, appeared before the Council explaining the rezoning request. He noted that the diicription of the zoning is correcr as the property has split mning. He stated that they are requesting the rezoning of this property known as The Preston House, which is the oldest house in Salerq circa 1821, with proffered conditiors. The property is listed on the National Historic Register and also on the Mrginia tandmarks Register, and it also has a historic preservation easement held by the Deparfrnent of Historic Resources. Additionally, he noted that the City is thinking about adding the CBD Community Business District to the zoning designations, and if this happens, the Historical Society would like to have this properly included in that designation. The main reason for this request is to allow for residential upstairs in the residence. The current use is for a tea room but if the proposed restaurant ceased to exist, they would like it if someone could live upstairs and have antique shop or art gallery downstairs. Mayor Foley opened the public hearing and asked if anyone else would like to speak regarding the rnatter. There was no response, and the public hearing was closed. Mr. Taliaferro noted that the proposed map Council has in their packet includes this properfy in the CBD Community Business District zoning. Mayor Foley noted since Council has not officially changed the zoning ordinance to add the CBD zoning would this have to come back for this request or would it be granted into that zoning designation if it is approved for the entire city later on? Mr. Taliafeno noted that this property would be included in the proposed changes to the mning map when it comes before Council at a later date. Wlliam Jones noted that most of his questiors were arswered in the Planning Commission minutes. William Jones motioned to approve the ordinance on first reading the request of Salem Historical Society, property owner, for rezoning the property located at 1936 West Main Street (Tax Map #138-2-7) fiom RSF Residential Single Family District /HBD Highway Business District to Highway Business District with the following voluntarily proffered condition: the use of the property will be linlted to^the following: iiri. ur. Jane Johrson seconded the motion Ayes: Chisorrq Foley, Jotrsoq Jones, Martin B. Salem Municipal Golf Coune Consider renewing the lease for 2017. Mr. Taliafeno noted that the proposed lease for 2017 is identical to the previous lease which includes l0% for the City after the $16,000 that the lessee would retain He noted that it is probably an identical lease to what Mr. Yost worked on 20 or 30 years ago. Mr. Yost noted that actually he wished he could be that briei but he honestly believes that this is Sagen Kime's work. He noted that he does not have the talent to do a one ard ll4 page lease. Mr. Yost noted that as long we are dealing with Mr. Jolnston as we have for many, many decades this lease is fine, and he would not change it. James Martin motioned to renew the lease for 2017 for the Salem Mwricipal Golf Course. William Jones seconded the motion. Ayes: Chiso4 Foley, Johrsorl Jones, Martin C. AbstractofVotes Receive Abshact ofVotes cast at the General & Special Election held on November 8,20t6. Mayor Foley noted that he did not believe that Council received the information for this item and he meant to bring it up earlier. He does not know if it is necessary for themto have this inthe packet. Mr. Yost noted that he thouglrt the Abshact ofVotes cast needs to be presented but this can be done at the next meeting of City Council. This item was postponed until the next regular meeting of City Council. 7. Closed Session 8. Adjoumment William Jones noted he would like to thank our Fire Department and some members who are present this evening w{ro went tlnough the Fire Academy training: Mrs. Johnsoq Mr. Boggess and himself. It was quite a long time but it was fun and he conrrended Chief Prillamaq Mike Perdue and Hunter'Weikle for an excellent job of putting it together. He believes that it is very beneficial and knowledgeable to see what the fire department goes througlr- Mrs. Johnson noted that it was amazing and she would concur with Mr. Jones. Mayor Foley thanked them for representing City Council. While the flre department is in the process of answering a fire alarm or extinguishing a fire, the fire chief or other officer in charge at that time shall have the authority to maintain order at the fire or its vicinity, direct the actions of the firefighters at the flre, keep bystanders or other persons at a safe distance from the fire and fire equipment, facilitate the speedy movement and operation of fire-fighting equipment and firefighters and, until the arrival of a police officer, direct and control trafflc, in person or by deputy, and facilitate the movement of traffic. The Bond shall be issued initially as a typewritten bond in substantially the form of attached hereto as Exhibit A, with such completions, omissions, insertions and changes not inconsistent with this Resolution as may be approved by such officers ofthe City, whose approval shall be evidenced conclusively by the execution ofthe Bond and delivery thereof to the Bank. 6. Pledge of Full Faith and Credit. The full faith and credit of the City are inevocably pledged for the payment ofprincipal ofand premium, ifany, and interest on the Bond. Unless other funds are lawfully available and appropriated for timely payment of the Bond, the Council shall lely and collect an annual ad valorem tax, over and above all other taxes authorized or limited by law and without limitation as to rate or amount, on all locally taxable property in the City sufficient to pay when due the principal ofand premium, ifany, and interest on the Bond. 7. Registration, Transfer and Owner ofBond. (a) The Bond shall be issued in registered form without coupons, payable to the registered holders or registered assigns. The City Treasurer is hereby appointed paying agent and registrar for the Bond (the "Registrar"). The City may in its discretion appoint at any time a qualified bank or trust company as successor Registrar. The Registrar shall maintain registration books for the registration of the Bond and transfers thereof. Upon presentation and surrender of the Bond at the office of the Registrar, or its corporate trust office if the Registrar is a bank or trust company, together with an assignment duly executed by the registered owner or its duly authorized attomey or legal representative in such form as shall be satisfactory to the Registrar, the City shall execute, and the Registrar shall authenticate, if required by Section 4, and deliver in exchange, a new Bond or Bonds having an equal aggregate principal amount, in authorized denominations, of the same form and maturity, bearing interest at the same rate, and registered in names as requested by the then registered owner or its duly authorized attomey or legal representative. Any such exchange shall be at the expense of the City, except that the Registrar may charge the person requesting such exchange the amount ofany tax or other govemmental charge required to be paid with respect thereto. (b) The Registrar shall treat the registered owner as the person exclusively entitled to payment ofprincipal, premium, ifany, and interest and the exercise ofall other rights and powers of the owner, except that interest payments shall be made to the person or entity shown as owner on the registration books on the Record Date. 8. Preparation and Delivery of Bond. The officers of the City are authorized and directed to take all proper steps to have the Bond prepared and executed in accordance with its terms and to deliver the Bond to the Bank upon payment therefor. 9, Mutilated, Lost or Destroyed Bond. If the Bond has been mutilated, lost or destroyed, the City shall execute and deliver a new Bond of like date and tenor in exchange and J substitution for, and upon cancellation of, such mutilated Bond or in lieu ofand in substitution for such lost or destroyed Bond; provided, however, that the City shall so execute and deliver only if the registered owner has paid the reasonable expenses and charges of the City in connection therewith and, in the case of a lost or destroyed Bond, (a) has filed with the City evidence satisfactory to the City that such Bond was lost or destroyed and (b) has fumished to the City satisfactory indemnity. 10. Escrow Deposit Agreement. The City Manager and the Director of Finance, either of whom may act, are authorized and directed to execute an escrow deposit agreement in connection with the Refunded Bonds (the "Escrow Agreement") between the City and an escrow agent to be appointed by the City Manager (the "Escrow Agent"). The Escrow Agreement shall be in the form approved by the City Manager, in collaboration with the City Attomey and the City's bond counsel, the execution thereofby the City Manager or the Director ofFinance, or both of them, to constitute conclusive evidence of such officer's approval of the Escrow Agreement. The Escrow Agreement shall provide for the inevocable deposit ofa portion ofthe Bond proceeds (the "Refunding Portion") in an escrow fund that shall be sufficient to provide for payment of principal of and premium, if any, and interest on the Refunded Bonds; provided, however, that such Bond proceeds shall be invested in such manner that the Bond and the Refunded Bonds will not be "arbitrage bonds" within the meaning ofSection 148 ofthe Intemal Revenue Code of 1986, as amended, and regulations issued pursuant thereto (the "Code"). If requested by the City Manager, the Escrow Agent is authorized and directed to execute an initial and final subscription form for the purchase of the noncallable, direct obligations of the United States. 11. Deposit of Bond Proceeds. The City Treasurer is authorized and directed to (a) provide for the delivery ofthe Refunding Portion to the Escrow Agent for deposit in the Escrow Fund and (b) deposit the remaining proceeds ofthe Bond in a special account to be used to pay the costs of refunding the Refunded Bonds and issuing the Bond. The City Treasurer is further authorized and directed to take all such further action as may be necessary or desirable in connection with the payment and refunding of the Refunded Bonds. 12. Redemption of Refunded Bonds. The City Manager is authorized and directed to determine which maturities of the 20074 Bonds shall constitute the "Refunded Bonds." The Escrow Agreement shall provide for notices of defeasance and redemption to be given to the registered owners of the Refunded Bonds in accordance with the resolution providing ior the issuance of the 2007A Bonds. 13. Arbitrage Covenants. (a) The City represents that there have not been issued, and covenants that there will not be issued, any obligation that will be treated as part ofthe same "issue" ofobligations as the Bond within the meaning of Treasury Regulations Section 1.150(c). (b) The City covenants that it shall not take or omit to take any action the taking or omission of which will cause the Bond to be an "arbitrage bond" within the meaning of Section 148 ofthe Code, or otherwise cause interest on the Bond to be includable in the gross income for federal income tax purposes of the registered owner thereof under existing law. Without limiting the generality ofthe foregoing, the City shall comply with any provision of law that may require the City at any time to rebate to the United States any part of the eamings derived from the investment of the goss proceeds of the Bond, unless the City receives an opinion of nationally 4 recognized bond counsel that such compliance is not required to prevent interest on the Bond from being includable in the gross income for federal income tax purposes of the registered owner thereof under existing law. The City shall pay any such required rebate from its legally available funds. 14. Non-Arbitrage Certificate and Elections. Such officers of the City as may be requested by bond counsel for the City are authorized and directed to execute an appropriate certificate setting fo(h (a) the expected use and investment of the proceeds of the Bond in order to show that such expected use and investment will not violate the provisions of Section 148 of the Code, and (b) any elections such officers deem desirable regarding rebate of eamings to the United States for purposes of complying with Section 148 ofthe Code. Such certificate shall be prepared in consultation with bond counsel for the City, and such elections shall be made after consultation with bond counsel. 15. Limitation on Private Use. The City covenants that it shall not permit the proceeds ofthe Bond or the facilities refinanced thereby to be used in any manner that would result in (a) 5% or more of such proceeds or facilities being used in a trade or business carried on by any person other than a governmental unit, as provided in Section 141(b) ofthe Code, (b) 5oZ or more of such proceeds or facilities being used with respect to any output facility (other than a facility for the fumishing of water), within the meaning of Section 141(bX4) of the Code, or (c) 5% or more of such proceeds being used directly or indirectly to make or finance loans to any persons other than a govemmental unit, as provided in Section 141(c) ofthe Code; provided, however, that ifthe City receives an opinion ofnationally recognized bond counsel that any such covenants need not be complied with to prevent the interest on the Bond from being includable in the gross income for federal income tax purposes ofthe registered owner thereol under existing law, the City need not comply with such covenants. 16. Provision of Financial Information. The City Manager is hereby authorized and directed to provide to the Bank, for so long as the Bond remains outstanding, a copy ofthe City's comprehensive annual financial report and other financial iniormation reasonably requested by the Bank, as soon as is practicable upon the release of such information. 17. Election to Proceed under Public Finance Act. In accordance with Section 15.2- 2601 of the Code of Virginia of 1950, as amended (the "Virginia Code"), the Council elects to issue the Bond pursuant to the provisions ofthe Public Finance Act of 1991, Chapter 26 of Title 15.2 ofthe Virginia Code, without regard to the provisions ofthe City Charter. 18. Other Actions. All other actions of officers of the City in conformity with the purposes and intent of this Resolution and in furtherance of the issuance and sale ofthe Bond are hereby ratified, approved and confirmed. After the initial year, the grant is expected to cover the cost of the salary, benefits and supplies needed for an additional four years. The regional grant will fund a total of six police positions across the participating jurisdictions.
