Consider the ordinance on second reading at the request of the Salem Historical Society,
property owner, for rezoning the property located at 1936 West Main Street. (Tax Map
#138-2-7) from RSF Residential Single Family District /HBD Highway Business District to
Highway Business District with conditions. (Approved on first reading at November 28,
2016 meeting.)

Hold a public hearing and consider ordinance on first reading to vacate and permanently
dispose of a 50' right of way with portions of variable width beginning at a point east of
Mountainview Drive to the terminus of the unopened right of way as shown on the attached
map. (As advertised in the November 28, and December 5, 2016 issues of The Roanoke
Times).
B.Fire Prev ention and Protection Ordinance
Consider ordinance on first reading to amend Chapter 34, Article I, Section 34-6, Article II,

A work session of the council of the city of Salem, Virginia, was held in the Electric
Department's Conference Room, 73o West N4ain Street, Salem, Virginia, on November 28, 2015,
at 6:oo p.m., there being present the following members of said Council, to wit: Byron Randolph
Foley, Jane w. Johnson, William D..Jones, and James A. Martin, and James. L. Chisom; with
Byron Randolph Foley, presiding; together with Kevin S. Boggess, City Manager; James E.
Taliaferro, Assistant City lManager; Shatonna Stores, Chief Deputy Treasurer, Linda Carroll,
commissioner of the Revenue, sidney Kuzmich, Deputy Commissioner of the Revenue, N,like
Crawley, Chief of Police, Rose Marie Jordan, Director of Finance and Tom Bowers,
Commonwealth Attorney; and the following business was transacted:
N,layor Foley reported that this date, place, and time had been set in order forthe Council
to hold a work session; and
WHEREAS, lvls. Stores gave an update on the collection ofoutstanding taxes; and

Call to Order
A regular meeting of the Council of the City of Salerq Mrginia, was called to order
at 7:30 p.m, there being present the following members to wit: Byron Randolph
Foley, Mayor, Wlliam D. Jones, Mce-Mayor, Councilmembers: Jane W. Johrson,
James A. Martiq and James L Chisom; along with Kevin S. Boggess, City
Manager; James E. Taliafeno, II, Assistant City Manager and Clerk of Council;
Rosemarie B. Jordaq Director of Finance; Mike Stevens, Connnunications Director;
William L. Sirrpsoq Jr., Crty Engineer; and Stephen M. Yost, City Attomey.

Planning Corrrnission and the regular meeting on Novemb er 14,2016,

A. Tourism Zone Ordinance
Consider ordinance on second reading establishing Towism Zones. @assed on first
reading at the November 14,2016 meeting.)
Mayor Foley noted since the passage of the ordinance on the first reading that
another zone has been added around the Valleydale Packers building. Mr. Boggess
noted this is correct. He stated that in discussiors after the first reading it was
suggested we include the property around the Valleydale plant as one of the zones
so the maps have been amended to include this. He asked that Council include this
in the second reading as an anpndment.
Mayor Foley noted for those who were not at the first reading, by including these

areas in the Tourism Zones it may qualiff for State funding later on for development
purposes. This is the whole objeitive ofthese zones located tlrouglrout the
community.
Jane Jokson motioned to adopt the ordinance as amended on second reading
establishing Tourism Zones. (Passed on first reading at the Novemb et 14,2016
meeting.). James Chisom seconded the motion

6. New Business
A. Amendment to Zoning Ordinance
Hold a public hearing and consider the ordinance on first reading at the request of
the Salem Historical Society, property owner, for rezoning the property located at
1936 West Main Sheet. (Tax Map #138-2-7) from RSF Residential Single Family
District /HBD Highway Business District to Highway Business Dishict
with conditions. (As advertised in the November 10, and November 17,2016
issues of the Salem Times Register.i Recommend approval with conditions; see
Page I Planning Commission minutes.) STAFF REPORT
Staff noted the following: the subject property consists ofone parcel of about 9.331
acres located along the south side of West Main Street; the property is curently
occupied by the historic Preston House, a single family residence, and associated
outbuildings; the applicant is requesting a rezoning to HBD Highway Business
District in order to allow a restaurant and other incidental uses within the existing
Preston House in a historic setting; f.rther, the applicant has voluntarily proffered
that only the following uses be allowed on the property:

Micro-brewery (Ifallowed by the underlying zoning)

Outdoor Gathering
Dave Robbins of 620 High Street, representing the Salem Historical Society,
appeared before the Council explaining the rezoning request. He noted that the
diicription of the zoning is correcr as the property has split mning. He stated that
they are requesting the rezoning of this property known as The Preston House, which
is the oldest house in Salerq circa 1821, with proffered conditiors. The property is
listed on the National Historic Register and also on the Mrginia tandmarks Register,
and it also has a historic preservation easement held by the Deparfrnent of Historic
Resources.
Additionally, he noted that the City is thinking about adding the CBD Community
Business District to the zoning designations, and if this happens, the Historical
Society would like to have this properly included in that designation. The main
reason for this request is to allow for residential upstairs in the residence. The
current use is for a tea room but if the proposed restaurant ceased to exist, they
would like it if someone could live upstairs and have antique shop or art gallery
downstairs.
Mayor Foley opened the public hearing and asked if anyone else would like to
speak regarding the rnatter. There was no response, and the public hearing was
closed.
Mr. Taliaferro noted that the proposed map Council has in their packet includes this
properfy in the CBD Community Business District zoning. Mayor Foley noted since
Council has not officially changed the zoning ordinance to add the CBD zoning
would this have to come back for this request or would it be granted into that zoning
designation if it is approved for the entire city later on? Mr. Taliafeno noted that
this property would be included in the proposed changes to the mning map when it
comes before Council at a later date.
Wlliam Jones noted that most of his questiors were arswered in the Planning
Commission minutes.
William Jones motioned to approve the ordinance on first reading the request of
Salem Historical Society, property owner, for rezoning the property located at 1936
West Main Street (Tax Map #138-2-7) fiom RSF Residential Single Family District

Consider renewing the lease for 2017.
Mr. Taliafeno noted that the proposed lease for 2017 is identical to the previous
lease which includes l0% for the City after the $16,000 that the lessee would retain
He noted that it is probably an identical lease to what Mr. Yost worked on 20 or 30
years ago. Mr. Yost noted that actually he wished he could be that briei but he
honestly believes that this is Sagen Kime's work. He noted that he does not have the
talent to do a one ard ll4 page lease.
Mr. Yost noted that as long we are dealing with Mr. Jolnston as we have for many,
many decades this lease is fine, and he would not change it.
James Martin motioned to renew the lease for 2017 for the Salem Mwricipal Golf
Course. William Jones seconded the motion.

Receive Abshact ofVotes cast at the General & Special Election held on November
8,20t6.
Mayor Foley noted that he did not believe that Council received the information for
this item and he meant to bring it up earlier. He does not know if it is necessary for
themto have this inthe packet.
Mr. Yost noted that he thouglrt the Abshact ofVotes cast needs to be presented but
this can be done at the next meeting of City Council.
This item was postponed until the next regular meeting of City Council.

William Jones noted he would like to thank our Fire Department and some members
who are present this evening w{ro went tlnough the Fire Academy training: Mrs.
Johnsoq Mr. Boggess and himself. It was quite a long time but it was fun and he
conrrended Chief Prillamaq Mike Perdue and Hunter'Weikle for an excellent job of
putting it together. He believes that it is very beneficial and knowledgeable to see
what the fire department goes througlr- Mrs. Johnson noted that it was amazing and
she would concur with Mr. Jones. Mayor Foley thanked them for representing City
Council.
There being no further business the meeting adjoumed at 7 :40 p.rrt

OF SALEM, VIRGINIA, RELATING TO ZONING AND DIVIDTNG THE CITY INTO BUILDTNG DISTzuCTSAND ESTABLISHTNG DISTRICT BOUNDARY LINES ON THE ZONTNG MAP OF THE CITY OF SALEM,
VIRGTNIA.
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF SALEM, VIRGINIA, that Section 106-110,
Article I, Chapter I 06 of The Code of the City of Salem, Virginia, relating to building district boundary
lines be amended in the following particular and no other, viz:
WHEREAS, Salem Historical Society, property owner, has heretofore petitioned to have the property
located at 1936 West Main Street (Tax Map # 138-2-7) rezoned from RSF Residential Single Family
District/HBD Highway Business District to HBD Highway Business District with conditions; and
WHEREAS, in said petition, Salem Historical Society, property owner, did voluntarily proffer
conditions in addition to the regulations provided for in the FIBD Highway Business District into which this
property is requested to be rezoned; and
WHEREAS, Council has reviewed the proposed conditions and is of the opinion that the requested
rezoning without the proposed conditions would not be in the best interests of the City and that the
conditions proffered will more closely comply with the intent of the Land Use Plan heretofore adopted; and
WHEREAS, Council has adopted the provisions of Chapter 320 of the 1978 Acts of the General
Assembly of Virginia, Sections 15.2-2296 through 15.2-2302, relating to conditional zoning; and
WHEREAS, the Planning Commission at its regular meeting held on November 16, 2016, did
recommend to Council after holding a public hearing that such rezoning be approved with the voluntarily
proffered conditions; NOW THEREFORE,
BE IT ORDAINED BY THE COUNCIL OF THE CITY OF SALEM, VIRGINIA, that Section 106-
110, Article I, Chapter 106, of The Code of the City of Salem, be amended, revised, and reordained to read
as follows and the map referred to shall be changed in this respect and no other:
Section l.
Leeal Descriotion for Tract 3A - Tox #138-2-7 Citv of Salem, Vireinia
Beginning at an iron pin found on the southern right of way line of West Main Street (U.S. Rte.460), being
approximately 900 feet west of the intersection with Hurt Lane; thence leaving said right of way along the western
property line of the Go-Mart, Inc. property S 12o35'02" E,832.76 feet to a pin found on the northern right of way line
of the Norfolk Southern Corporation; thence along the said right of way S 7l'41'23" W,553.42 feet to a pipe found at
the intersection of the eastern property line of USF Propco I, LLC; thence with said property line N 20o3 5 ' I 3" W,
478.26 feet to a point; thence leaving said property line along the southern boundary line of the mill race (area of
unknown ownership) the following three (3) courses: N 77o42'12" E, 152.23 feet to a point; thence S 79"38'48" E,
57.00 feet to a point; thence N 82o46'12 8,42.71' to a point; thence still with the mill race and the eastern property
line of GES Properties, LLC propery N 17o38'00" W,216.41 feet to a point at the intersection with the southern
property line of the White Oak Ventures II, LLC property; thence with said property's southern and eastem property
lines the following two (2) courses: N 82o36'00" E, 63.90 feet to a pin found; thence N 7o24'00" W, 260.00 feet to a
pin found at the intersection with the southern right of way line of West Main Street; thence with said right of way
line N 82o36'00" E, passing through a pin found on line at 165.1'7 feet, a total of 303.17 feet to the point of beginning
and being Tract 3,A, containing 9.331 acres total, as shown on the plat titled "Combination Plat for the Salem
Historical Society" by Parker Design Group dated December I 5, 20 l5 and recorded in the City of Salem, Virginia
Circuit Court Clerk's offrce in P.B. 14, PG. 55, Slide 224.
Said area to be rezoned contains approximately 9.331 acres.

The following condition voluntarily proffered shall apply in addition to the regulations contained in

AN ORDINANCE enacted pursuant to the provisions of Section 15.2-2272 of the 1950 Code of
Virginia, as amended, providing for vacating a 5O-foot right ofway with portions ofvariable
width in the City of Salem. Virginia.
WHEREAS, and application has been filled with the Council of the City of Salem,
Virginia pursuant to Section 15.2-2272 requesting that a 50-foot right ofway with portions of
variabte width beginning at a point east of Mountainview Drive to the terminus ofthe unopened
right ofway; on the map attached here onto and made a part hereof; and
WHEREAS, pursuant to Section 15.2-22'72 and Section 15.2-2204, the applicant in this
proceeding has caused a public notice to be published in The Roanoke Tiraes, a newspaper
published and having general circulation in the City of Roanoke and City of Salem, Virginia,
such publication having been made twice, with at least six days elapsing between the first and
second publication, to-wit; on November 28, 2016 and December 5, 2016 and such notice
specified the time and place of hearing to-wit: December 12,2016 at 7:30 p.m. in the Council
Chambers of the City of Salem, at which time persons affected may appear and present their
views, all of which is shown by a Certificate ofPublication executed by The Roanoke Times and,
filed with the papers in their proceeding; and
WHEREAS, a proper notice has been given to the land proprietors affected by the
closing; and
WHEREAS, the Council, after considering the evidence submitted, is of the opinion that
vacating and closing portions ofthe right of way described above will not abridge or destroy any
ofthe rights and privileges ofany person, and that no inconvenience would result to anyone
therefrom, and it is further of the opinion that the request ofthe applicant should be granted;
NOW, THEREFORE, BE IT ORDANED BY THE COUNCIL OF THE CITY OF
SALEM, VIRGINIA, that a 50-foot right of way with portions of variable width beginning at a
point east of Mountainview Drive to the terminus of the unopened right ofway as shown and
depicted on the aforesaid tax map dated November 2016, be perrnanently vacated, discontinued,
and closed as provided by Section | 5.2-2272 ofthe 1950 Code of Virginia, as amended to date;

The City will retain a 20-foot Public Utility Easement.

ARTICLE I. - GENERAL
Sec. 34-6. - Authority of fire-fighting officials.
While the flre department is in the process of answering a fire alarm or extinguishing a fire, the fire
chief or other officer in charge at that time shall have the authority to maintain order at the fire or its vicinity,
direct the actions of the firefighters at the flre, keep bystanders or other persons at a safe distance from the
fire and fire equipment, facilitate the speedy movement and operation of fire-fighting equipment and
firefighters and, until the arrival of a police officer, direct and control trafflc, in person or by deputy, and
facilitate the movement of traffic. The fire chief or other officer in charge shall display his firefighter's badge
or other proper means of identification. Any person refusing to obey the orders of the fire chief €+-hi6
d€putr€s or other officer in charge at that time shall be guilty of a Class 4 misdemeanor.

change in use of any building or structure, the fire official shall have the authority to reguire the
installation of firc hydrants, as he deerrs necessary, to have water available for firefighting
purposes prior to the use of combustibllo materials in construction being commenced on any floor
above the first or ground floor level. Such hydranfs shar, 6e acces sible to firefighting apparatus at
the time they are installed and at all times thereafter. The fire official will determine the need for fire
hydrants based on the use and size of the structure involved and the availability of water in the area
of the propefty. The number of fire hydrants, their placement and the desired flow shall be
determined by regulations established from nationally recognized standards.

Section 86-311. Visitor ParkinS Permits
Visitor Parking Permits may be issued to non-resident visitors to the
City to allow special street parking of motor vehicles within certain
areas of the Downtown Business Distrid. Visitor Parking Permits shall
be displayed on such motor vehicle and shall exempt the driver lrom
the requirements ofthe posted hourly time limits for the effective date
of the Permit.
Section 85-312. lssuance of Permits, unauthorized use.
The City Manager, or designee, is her€by authorized to develop such rules and
requirements as deemed appropriate for the Visitor ParkinE Permit, and to irtue said
permits. Unauthorized use or display or such a permit shall be deemed a violation of
this division.
Sedion 86-313. Penalty for Violation of Division.
Any person convicted of violating the terms of this division shall b€ guiltv of a class 4
misdemeanor. Each day a vehicle is parked in violation ofthis division shall constitute
a separate offense, Any vehicle parkinB in violation of this division for more than
three days will be subject to being towed away at the owne/s expense.

refunding bonds to refund on a current basis all or a portion of the outstanding 20074
Bonds and pay the related costs of issuance and refunding. This bond issue will be in a
principal amount not to exceed $13,000,000. The City's Financial Advisor, Davenport &
Company, receaved bids for this refunding from various financial institutions and has
recommended that the City select KeyBank for this refunding.
FISCAL IMPACT:
The projected savings from this refunding will reduce the debt service budget forthe water
fund by approximately $147,000 per fiscal year.
STAFF RECOMMENDATION:
Staff recommends adopting the attached resolution authorizing the issuance, sale and
award of its general obligation refunding bond, series 20174. in an aggregate principal
amount not to exceed $13,000,000.

WHEREAS, on March 15,2007, the City of Salem (the "City") issued its $17,045,000
General Obligation Public Improvement Refunding Bonds, Series 2007A (the "2007A Bonds"),
the proceeds of which were used to advance refund a portion of the City's $23,000,000 General
Obligation Public Improvement Bonds, Series 2002;
WHEREAS, it appears that the City can effect debt service savings by issuing a series of
its general obligation refunding bonds to (a) refund on a current basis all or a portion of the
outstanding 20074 Bonds (such refunded portion, the "Refunded Bonds") and (b) pay the related
costs of issuance and refunding;
WHEREAS, the City's administration, in collaboration with the City's financial advisor,
Davenport & Company LLC (the "Financial Advisor"), has recommended to the Council of the
City (the "Council") that the City issue and sell a general obligation refunding bond (the "Bond"
as hereinafter described) through a private placement with a commercial banking or other financial
institution;
WHEREAS, the Financial Advisor has solicited bids, on behalf of the City, for the
purchase ofthe Bond; and
WHEREAS, the Council desires to delegate to the City Manager the authority to award
the sale of the Bond to one of the bidders and to determine the final pricing terms of the Bond
within certain parameters set forth below;
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF SALEM, VIRGINIA:
1, Issuance ofBonds. Pursuant to the Constitution and statutes ofthe Commonwealth
of Virginia, including the Public Finance Act, the Council hereby provides for the issuance and
sale of the Bond to provide funds to (a) refund on a current basis the Refunded Bonds, including
funds to pay principal of and interest on the Refunded Bonds until their redemption date and (b)
pay costs incurred in connection with such refunding and the issuance of the Bond. Further, the
Council hereby authorizes the City Manager to determine, in collaboration with the Financial
Advisor, which bid is in the best interests of the City to accept and to award the Bond to such
commercial banking or other financial institution (the "Bank).
2. Bond Details.
(a) The Bond shall be designated "General Obligation Refunding Bond, Series
2017 A," or such other designation as may be determined by the City Manager, shall be in
registered form, shall be dated such date as may be determined by the City Manager and shall be
numbered RA-l. The Bond shall be sold to the Bank with final terms that the City Manager. in
collaboration with the Financial Advisor, determines to be in the best interests of the City;
provided, however, that the Bond shall (i) be issued in an aggregate principal amount not to exceed
$13,000,000, (ii) have a "true" or "Canadian" interest cost not exceeding 3.50%, subject to an
interest rate adjustment, if any, as required by the terms of the bid submitted by the Bank and
approved by the City Manager, (iii) be sold to the Bank at a price of 100% ofthe original principal
amount thereoi and (iv) matwe no later than December 31, 2027 , and provided further that the
refunding of the Refunded Bonds shall result in at least 3.002 net present value savings calculated
by the Financial Advisor in accordance with industry standards. Interest on the Bond shall be
payable semi-annually on dates determined by the City Manager. Principal on the Bond shall be
payable in installments in amounts and on dates determined by the City Manager.
(b) Following the determination of the final pricing terms for the Bond, the City
Manager shall execute a certificate setting forth such final pricing terms and shall file such
certificate with the records of the Council. The actions of the City Manager in selling the Bond
shall be conclusive, and no further action with respect to the sale and issuance of the Bond shall
be necessary on the part ofthe Council.

United States of America.
3. Prepayment of the Bond. The Bond may be subject to prepayment prior to
maturity at the option of the City on or after dates, if any, determined by the City Manager, in
whole or in part at any time, at a prepayment price equal to the principal amount ofthe portion of
the Bond to be prepaid, together with any interest accrued to the date fixed for prepayment, plus a
prepayment premium, if any, determined by the City Manager to be acceptable to the City (which
may include a "make whole" prepayrnent price as negotiated with the Bank).
4. Execution and Authentication. The Bond shall be signed by the manual or
facsimile signature of the Mayor or Vice Mayor, and the City's seal shall be affixed thereto or a
facsimile thereof printed thereon and shall be attested by the manual or facsimile signature ofthe

City Clerk or Deputy City Clerk; provided, however, that no Bond signed by facsimile signatures
shall be valid until it has been authenticated by the manual signature ofthe Registrar or, if a bank
or trust company has been appointed registrar pursuant to Section 7, an authorized officer or
employee of such bank or trust company and the date of authentication has been noted thereon.
5. Bond Form. The Bond shall be issued initially as a typewritten bond in
substantially the form of attached hereto as Exhibit A, with such completions, omissions, insertions
and changes not inconsistent with this Resolution as may be approved by such officers ofthe City,
whose approval shall be evidenced conclusively by the execution ofthe Bond and delivery thereof
to the Bank.
6. Pledge of Full Faith and Credit. The full faith and credit of the City are
inevocably pledged for the payment ofprincipal ofand premium, ifany, and interest on the Bond.
Unless other funds are lawfully available and appropriated for timely payment of the Bond, the
Council shall lely and collect an annual ad valorem tax, over and above all other taxes authorized
or limited by law and without limitation as to rate or amount, on all locally taxable property in the
City sufficient to pay when due the principal ofand premium, ifany, and interest on the Bond.
7. Registration, Transfer and Owner ofBond.
(a) The Bond shall be issued in registered form without coupons, payable to the
registered holders or registered assigns. The City Treasurer is hereby appointed paying agent and
registrar for the Bond (the "Registrar"). The City may in its discretion appoint at any time a
qualified bank or trust company as successor Registrar. The Registrar shall maintain registration
books for the registration of the Bond and transfers thereof. Upon presentation and surrender of
the Bond at the office of the Registrar, or its corporate trust office if the Registrar is a bank or trust
company, together with an assignment duly executed by the registered owner or its duly authorized
attomey or legal representative in such form as shall be satisfactory to the Registrar, the City shall
execute, and the Registrar shall authenticate, if required by Section 4, and deliver in exchange, a
new Bond or Bonds having an equal aggregate principal amount, in authorized denominations, of
the same form and maturity, bearing interest at the same rate, and registered in names as requested
by the then registered owner or its duly authorized attomey or legal representative. Any such
exchange shall be at the expense of the City, except that the Registrar may charge the person
requesting such exchange the amount ofany tax or other govemmental charge required to be paid
with respect thereto.
(b) The Registrar shall treat the registered owner as the person exclusively entitled to
payment ofprincipal, premium, ifany, and interest and the exercise ofall other rights and powers
of the owner, except that interest payments shall be made to the person or entity shown as owner
on the registration books on the Record Date.
8. Preparation and Delivery of Bond. The officers of the City are authorized and
directed to take all proper steps to have the Bond prepared and executed in accordance with its
terms and to deliver the Bond to the Bank upon payment therefor.
9, Mutilated, Lost or Destroyed Bond. If the Bond has been mutilated, lost or
destroyed, the City shall execute and deliver a new Bond of like date and tenor in exchange and

substitution for, and upon cancellation of, such mutilated Bond or in lieu ofand in substitution for
such lost or destroyed Bond; provided, however, that the City shall so execute and deliver only if
the registered owner has paid the reasonable expenses and charges of the City in connection
therewith and, in the case of a lost or destroyed Bond, (a) has filed with the City evidence
satisfactory to the City that such Bond was lost or destroyed and (b) has fumished to the City
satisfactory indemnity.
10. Escrow Deposit Agreement. The City Manager and the Director of Finance, either
of whom may act, are authorized and directed to execute an escrow deposit agreement in
connection with the Refunded Bonds (the "Escrow Agreement") between the City and an escrow
agent to be appointed by the City Manager (the "Escrow Agent"). The Escrow Agreement shall
be in the form approved by the City Manager, in collaboration with the City Attomey and the
City's bond counsel, the execution thereofby the City Manager or the Director ofFinance, or both
of them, to constitute conclusive evidence of such officer's approval of the Escrow Agreement.
The Escrow Agreement shall provide for the inevocable deposit ofa portion ofthe Bond proceeds
(the "Refunding Portion") in an escrow fund that shall be sufficient to provide for payment of
principal of and premium, if any, and interest on the Refunded Bonds; provided, however, that
such Bond proceeds shall be invested in such manner that the Bond and the Refunded Bonds will
not be "arbitrage bonds" within the meaning ofSection 148 ofthe Intemal Revenue Code of 1986,
as amended, and regulations issued pursuant thereto (the "Code"). If requested by the City
Manager, the Escrow Agent is authorized and directed to execute an initial and final subscription
form for the purchase of the noncallable, direct obligations of the United States.
11. Deposit of Bond Proceeds. The City Treasurer is authorized and directed to (a)
provide for the delivery ofthe Refunding Portion to the Escrow Agent for deposit in the Escrow
Fund and (b) deposit the remaining proceeds ofthe Bond in a special account to be used to pay the
costs of refunding the Refunded Bonds and issuing the Bond. The City Treasurer is further
authorized and directed to take all such further action as may be necessary or desirable in
connection with the payment and refunding of the Refunded Bonds.
12. Redemption of Refunded Bonds. The City Manager is authorized and directed to
determine which maturities of the 20074 Bonds shall constitute the "Refunded Bonds." The
Escrow Agreement shall provide for notices of defeasance and redemption to be given to the
registered owners of the Refunded Bonds in accordance with the resolution providing ior the
issuance of the 2007A Bonds.
13. Arbitrage Covenants. (a) The City represents that there have not been issued,
and covenants that there will not be issued, any obligation that will be treated as part ofthe same
"issue" ofobligations as the Bond within the meaning of Treasury Regulations Section 1.150(c).
(b) The City covenants that it shall not take or omit to take any action the taking
or omission of which will cause the Bond to be an "arbitrage bond" within the meaning of Section
148 ofthe Code, or otherwise cause interest on the Bond to be includable in the gross income for
federal income tax purposes of the registered owner thereof under existing law. Without limiting
the generality ofthe foregoing, the City shall comply with any provision of law that may require
the City at any time to rebate to the United States any part of the eamings derived from the
investment of the goss proceeds of the Bond, unless the City receives an opinion of nationally

recognized bond counsel that such compliance is not required to prevent interest on the Bond from
being includable in the gross income for federal income tax purposes of the registered owner
thereof under existing law. The City shall pay any such required rebate from its legally available
funds.
14. Non-Arbitrage Certificate and Elections. Such officers of the City as may be
requested by bond counsel for the City are authorized and directed to execute an appropriate
certificate setting fo(h (a) the expected use and investment of the proceeds of the Bond in order
to show that such expected use and investment will not violate the provisions of Section 148 of
the Code, and (b) any elections such officers deem desirable regarding rebate of eamings to the
United States for purposes of complying with Section 148 ofthe Code. Such certificate shall be
prepared in consultation with bond counsel for the City, and such elections shall be made after
consultation with bond counsel.
15. Limitation on Private Use. The City covenants that it shall not permit the
proceeds ofthe Bond or the facilities refinanced thereby to be used in any manner that would result
in (a) 5% or more of such proceeds or facilities being used in a trade or business carried on by any
person other than a governmental unit, as provided in Section 141(b) ofthe Code, (b) 5oZ or more
of such proceeds or facilities being used with respect to any output facility (other than a facility
for the fumishing of water), within the meaning of Section 141(bX4) of the Code, or (c) 5% or
more of such proceeds being used directly or indirectly to make or finance loans to any persons
other than a govemmental unit, as provided in Section 141(c) ofthe Code; provided, however, that
ifthe City receives an opinion ofnationally recognized bond counsel that any such covenants need
not be complied with to prevent the interest on the Bond from being includable in the gross income
for federal income tax purposes ofthe registered owner thereol under existing law, the City need
not comply with such covenants.
16. Provision of Financial Information. The City Manager is hereby authorized and
directed to provide to the Bank, for so long as the Bond remains outstanding, a copy ofthe City's
comprehensive annual financial report and other financial iniormation reasonably requested by the
Bank, as soon as is practicable upon the release of such information.
17. Election to Proceed under Public Finance Act. In accordance with Section 15.2-
2601 of the Code of Virginia of 1950, as amended (the "Virginia Code"), the Council elects to
issue the Bond pursuant to the provisions ofthe Public Finance Act of 1991, Chapter 26 of Title
15.2 ofthe Virginia Code, without regard to the provisions ofthe City Charter.
18. Other Actions. All other actions of officers of the City in conformity with the
purposes and intent of this Resolution and in furtherance of the issuance and sale ofthe Bond are
hereby ratified, approved and confirmed. The officers ofthe City are authorized and directed to
execute and deliver all certificates and instruments and to take all action necessary or desirable in
connection with the issuance, sale and delivery ofthe Bond.
19. Repeal of Conflicting Resolutions. All prior resolutions or parts ofresolutions in
conflict herewith are repealed.
20. Effective Date. This Resolution shall take effect immediately.

SUMMARY OF INFORMATION:
The City of Salem Police Department has been awarded $141,870 from the National
Highway Traffic Safety Administration. This grant will be administered by the Virginia
Department of Motor Vehicles (DMV). The project title for this grant is "Roanoke Valley
DUI Task Force". This grant is a cooperative effort of law enforcement agencies including
the Cities of Salem and Roanoke, the County of Roanoke and the Town of Vinton. For
fiscal year 2017, this grant is budgeted to cover the purchase price for one police vehicle,
operating supplies, uniforms and salary and benefits for one police officer for the City of
Salem. After the initial year, the grant is expected to cover the cost of the salary, benefits
and supplies needed for an additional four years. The regional grant will fund a total of
six police positions across the participating jurisdictions.
FISCAL IMPACT:
This grant will cover the cost of one police position and all supplies and equipment needed
for a period of five fiscal years.
STAFF RECOMMENDATION:
City staff recommends that Council accept the grant from DMV and appropriate $141,870
in grant revenue to account 10-030-0100-48395 and increase the budget for Police
Department state grant account, 10-030-31 1 0-55859, by $141 ,870.
