MINUTES OF THE MEETING OF THE
ECONOMIC DEVELOPMENT AUTHORITY
OF THE CITY OF SALEM, VIRGINIA
The Economic Development Authority of the City of Salem, Virginia, held a meeting on
June 10, 2025, at 3:00 p.m. in the Council Chambers of City Hall, 114 North Broad Street,
Salem, Virginia 24153. Paul Kuhnel, Quinn Mongan, Dave Robbins, Sean Kosmann, Jason
Fountain, Cindy Shelor, and Joe Curran.
Also present were Chris Dorsey, City Manager; Rob Light, Assistant City Manager; John
Fitzgerald, Legal Counsel; Tommy Miller, Director of Economic Development; Wayne Adkins,
Business Outreach Coordinator; Rebecca Marsh, Economic Development Specialist; Rosie
Jordan, Treasurer; and Crystal Williams, Secretary.
The Chair called the meeting to order at 3:00 p.m., noting that we would amend the
agenda to add the Oak Park Apartments, LLC item for which the EDA’s legal counsel will
provide background after we receive the financial reports.
The May 13, 2025, meeting minutes were approved as written.
Ms. Jordan reviewed the financial report as of April 30, 2025, and the report was received
as presented.
Mr. Fitzgerald stated that the Economic Development Authority, formerly the
Industrial Development Authority, entered a trust indenture in 2008 with U.S. Bank National
Association, as trustee, where the EDA issued $6,485,000.00 in bonds for multifamily housing
on the Oak Park Apartments. Mr. Fitzgerald stated that the debt has been paid, and the action
taken is to acknowledge that the debt is satisfied.
The following motion was made: The Economic Development Authority of the City of
Salem, Virginia (formerly the Industrial Development Authority of the City of Salem, Virginia)
entered into a trust indenture dated August 1, 2008 between the Authority and the National
Bank Association, as trustee, under which the Authority issued its $6,485,000.00 variable rate
demand multifamily housing revenue bonds, series 2008; and whereas, the Authority has
received all payments and fees and expenses due to it and its counsel under the indenture; and
whereas, the borrower has paid the debt secured by the indenture; and whereas, Oak Park VA
Preservation, L.P., a Delaware limited partnership, 1s transferring the property which is the
subject of the bonds to Oak Park Apartments, LLC, a Virginia limited liability company, and
Oak Park Apartments NAM, LLC, a Virginia limited liability company. Therefore, the
Economic Development Authority of the City of Salem, Virginia hereby consents to the
transfer of the property from Oak Park VA Preservation, L.P., a Delaware limited partnership,
to Oak Park Apartments, LLC, a Virginia limited liability company, and Oak Park Apartments
NAM, LLC, a Virginia limited liability company, and waives the requirements set forth as (1)
- (5) in Section 9(a) of the Land Use Restriction Agreement dated August 1, 2008 among the
Economic Development Authority of the City of Salem, Virginia (formerly the Industrial
Development Authority of the City of Salem, Virginia), as issuer, U.S. Bank National
Association, as trustee, and Oak Park VA Preservation, L.P., as borrower, specifically the legal
written opinions of legal counsel and bond counsel; and the Authority hereby authorizes its
counsel to provide written consent to the proposed transfer.

Ms. Jordan facilitated a discussion on the FY26 proposed EDA budget, and a motion was
made to adopt the proposed FY26 budget as presented.
Motion: Kossman; Second: Curran; All Aye
A motion was made to hold a Closed Session in accordance with Section 2.2-3711 A(5)
of the 1950 Code of Virginia, as amended, for a discussion concerning a prospective business or
industry, or the expansion of an existing business or industry where no previous announcement has
been made of the business’s or industry’s interest in locating or expanding its facilities in the
community, relating to retail operations; also concerning a prospective business or industry, or the
expansion of an existing business or industry where no previous announcement has been made of the
business’s or industry’s interest in locating or expanding its facilities in the community, relating to
manufacturers constrained on available production space and/or talent.

Upon reconvening, a motion was made in accordance with Section 2.2- 3712D of the
Code of Virginia, 1950, as amended to date. The EDA certified that in a closed session, only
items lawfully exempted from open meeting requirements under the Virginia Freedom of
Information Act and only such items identified in the motion by which the closed session was
convened were heard, discussed, or considered by the EDA.

As there was no other business, the meeting was adjourned at 4:00 p.m.
