Call to Order A special meeting of the Council of the City of Salem, Virginia, was called to order at 2:00 p.m., there being present the following members to wit: Renee F. Turk, Mayor (participated remotely), James W. Wallace, III, Vice-Mayor, Council members: Byron Randolph Foley, William D. Jones, and John E. Saunders; with James W. Wallace, III, Vice-Mayor, presiding; together with James E. Taliaferro, II, City Manager; Rob Light, Assistant City Manager and Clerk of Council; Crystal Williams, Assistant to the City Manager; and Mike Lockaby, on behalf of City Attorney Jim Guynn. Mr. Light noted that Mayor Turk had requested to participate remotely per Section 2.2-3708 1(A) of the Code of Virginia and the City’s Remote Participation Policy. William Jones moved to accept the remote participation of Mayor Turk. Randy Foley seconded the motion. Ayes: Foley, Jones, Saunders, Wallace 2. Closed Session A. Closed Session Hold a Closed Session in accordance with the provisions of Section 2.2- 3711A(1) and A(7) of the 1950 Code of Virginia, as amended, for a discussion of a personnel matter pertaining to a School Board appointment and for consultation with legal counsel and briefings by staff members or consultants pertaining to actual or probable litigation, where such consultation or briefing in open meeting would adversely affect the negotiating or litigating posture of the public body. For the purposes of this subdivision, "probable litigation" means litigation that has been specifically threatened or on which the public body or its legal counsel has a reasonable basis to believe will be commenced by or against a known party. Nothing in this subdivision shall be construed to permit the closure of a meeting merely because an attorney representing the public body is in attendance or is consulted on a matter. Vice-Mayor Wallace moved that, in accordance with Section 2.2-3711 A(1) and A (7) of the 1950 Code of Virginia, as amended, Council hereby convenes to closed session for the purpose of discussing the following specific matters: (1) A discussion of a personnel matter pertaining to a school board appointment and (2) A consultation with legal counsel and briefings by staff members or consultants pertaining to actual or probable litigation, where such consultation or briefing in open meeting would adversely affect the negotiating or litigating posture of the public body. Ayes: Foley, Jones, Saunders, Turk, Wallace Vice-Mayor Wallace motioned to reconvene at 2:55 p.m. and that in accordance with Section 2.2-3712D of the Code of Virginia, 1950 as amended to date, Council hereby certifies that in Closed Session only items lawfully exempted from open meeting requirements under the Virginia Freedom of Information Act and only such items as identified in the motion by which the Closed Session was convened were heard, discussed, or considered by the Council. Randy Foley seconded the motion. Ayes: Foley, Jones, Saunders, Turk, Wallace 3. Adjournment The meeting was adjourned at 2:55 p.m.
